Power of Attorney for Nathan Michael Smith

Nathan Michael Smith, President and Chief Executive Officer of Tilly's, Inc., has executed a Power of Attorney document. This document appoints several individuals, including Michael L. Henry, Christina Campbell, Nitai Chokshi, and Tilly’s General Counsel, as his attorneys-in-fact. These attorneys-in-fact are authorized to prepare, execute, and submit Forms 3, 4, and 5 to the SEC on behalf of Smith. They are also empowered to take any other actions necessary to comply with Section 16 of the Securities Exchange Act of 1934. The Power of Attorney remains in effect until Smith is no longer required to file these forms, unless revoked earlier by Smith in writing.
