Walter K. Griffith Resigns as Manager and Forfeits Units

Walter K. Griffith resigned as a Manager on the Board of Managers of Greystone AF Manager LLC, the general partner of the general partner of Greystone Housing Impact Investors LP, effective October 9, 2026. As a result, Mr. Griffith forfeited 5,376 unvested restricted units previously granted under the Amended and Restated Greystone Housing Impact Investors LP 2015 Equity Incentive Plan. Consequently, Mr. Griffith is no longer subject to Section 16 reporting requirements in connection with his transactions in the Issuer's equity securities. His post-transaction holdings amount to 29,803 units.
