Power of Attorney for David N. Keys

David N. Keys, a director of 22nd Century Group, Inc., has executed a Power of Attorney appointing Michael B. Kirwan, Matt Tedder, Jonathan Staffeldt, and John J. Wolfel as his attorneys-in-fact. This authorization allows them to execute and file Forms 3, 4, and 5, and any amendments thereto, on his behalf under Section 16(a) of the Securities Exchange Act of 1934. The attorneys-in-fact are also empowered to perform any necessary acts to complete and file these documents with the SEC and any stock exchange. The Power of Attorney remains in effect until Keys is no longer required to file such documents or until he revokes it in writing.
