Limited Power of Attorney for Section 16(a) Reporting

Andrew Albert Kucharchuk, a director of Windtree Therapeutics, Inc., has executed a Limited Power of Attorney (POA) authorizing Jed Latkin and Eric Curtis to act on his behalf for Section 16(a) reporting under the Securities Exchange Act of 1934. The POA grants the attorneys-in-fact the authority to prepare, execute, and file Forms 3, 4, and 5 with the SEC and other relevant entities.
