Disposal of Shares by Diveroli Investment Group LLC and Kingbird Ventures LLC

This Amendment to Schedule 13D reports that Diveroli Investment Group LLC and Kingbird Ventures LLC have disposed of all shares of common stock previously reported as beneficially owned in Wheeler Real Estate Investment Trust, Inc. The Reporting Persons no longer beneficially own any shares of the Issuer. The transactions occurred on September 10 and 11, 2025, with the sale of 101,946 and 101,054 shares, respectively. The aggregate prices for these sales were $301,156.96 and $267,945.36, with brokerage fees of $528.91 and $524.27. As of the date of this Amendment, the Reporting Persons do not beneficially own any shares of common stock of the Issuer.
