Power of Attorney for Barbara Humpton

Barbara Humpton, Chief Executive Officer and Director of USA Rare Earth, Inc., has executed a Power of Attorney appointing David Kronenfeld, Derek Ching, and Ana Fernandez Cortez as her attorneys-in-fact. This Power of Attorney authorizes them to execute and file Forms 3, 4, 5, and 144 on her behalf in relation to her beneficial ownership of securities in USA Rare Earth, Inc. The attorneys-in-fact are granted full authority to perform all necessary actions to complete and file these forms with the Securities and Exchange Commission and other relevant authorities. The Power of Attorney remains in effect until Humpton is no longer required to file these forms or until she revokes it in writing.
