Appointment and Resignation of Directors at TOMI Environmental Solutions, Inc.

On September 11, 2025, TOMI Environmental Solutions, Inc. announced the appointment of Mr. Francesco Fragasso to its Board of Directors. Mr. Fragasso was also appointed to serve on the Company’s Audit Committee, Compensation Committee, and Nominating and Governance Committee. Mr. Fragasso brings extensive experience, having served as CFO for several publicly traded companies, including Hamilton Thorne Ltd. and Fluence Corporation Ltd. He is a European Chartered Public Accountant and holds an MBA from Boston University. Additionally, Mr. Walter Johnsen resigned from the Board of Directors on the same day.
