Tiptree Inc. Merger Agreement and Voting Support

On September 26, 2025, Tiptree Inc. entered into an Agreement and Plan of Merger with DB Insurance Co., Ltd. and The Fortegra Group, Inc. The merger involves a subsidiary of DB Insurance merging with Fortegra, which will survive as a wholly owned subsidiary of DB Insurance. Arif Inayatullah, a significant shareholder of Tiptree, entered into a Voting and Support Agreement with DB Insurance, committing to vote his shares in favor of the merger and related transactions. Inayatullah owns approximately 8.97% of Tiptree's outstanding shares and has sole voting and dispositive power over these shares. The agreement restricts him from transferring his shares until the merger is completed or the agreement is terminated. The merger is subject to approval by Tiptree's stockholders.
