Settlement Reached in Malaysian Dividend Dispute

SEC Filing 6-K (0001654954-25-008690)

Prudential plc has reached a full and final settlement with Detik Ria Sdn Bhd regarding a dividend claim. Detik Ria, a 49% shareholder in Sri Han Suria Sdn Bhd (SHS), had initiated legal proceedings against Prudential in April 2025 concerning dividends amounting to approximately USD$ 833 million plus interest. As part of the settlement, Detik Ria will receive USD$ 83 million as a dividend from SHS, and Prudential has waived USD$ 33 million owed by Detik Ria. All legal proceedings related to the dispute will be withdrawn, and both parties have agreed to a mutual release of all liability from ongoing claims. The settlement is governed by the laws of England and Wales and subject to Singapore arbitration. The unaudited effect of the settlement is expected to result in a small increment to Prudential's IFRS shareholder equity. Prudential's ownership interest in Prudential Assurance Malaysia Berhad (PAMB) will continue to reflect a 49% non-controlling interest for Detik Ria.
