T3 Defense Inc. and Affiliates Acquire 16.57% Stake in BiomX Inc. via Zorronet Acquisition

On April 14, 2026, T3 Defense Inc., along with Water IO Ltd., Star 26 Capital Inc., and Menachem Shalom, filed an amended Schedule 13D reporting a significant new position in BiomX Inc. (PHGE). The reporting group acquired 1,300,000 shares of Common Stock, representing a 16.57% ownership stake. These shares were acquired by Water IO as consideration for the sale of 100% of the issued and outstanding share capital of Zorronet to BiomX Inc., pursuant to a Stock Purchase Agreement dated April 10, 2026. In addition to the shares, Water IO received a $1,250,000 non-convertible promissory note. Individually, Menachem Shalom, the CEO of T3 Defense, also holds an additional 300,000 shares purchased using personal savings, bringing his total beneficial ownership to 1,600,000 shares or 20.4% of the class. No cash was used by the corporate entities to acquire their portion of the shares, as the transaction was structured as an equity exchange for the Zorronet subsidiary.
