T3 Defense Inc. Acquires 19.87% Stake in BiomX Inc. via Zorronet Sale

On April 10, 2026, T3 Defense Inc., along with its affiliates Star 26 Capital Inc., Water IO Ltd., and Menachem Shalom, filed a Schedule 13D reporting a new 19.87% stake in BiomX Inc. (PHGE). The reporting group acquired 1,300,000 shares of common stock as consideration for the sale of Zorronet, a former subsidiary of Water IO, to BiomX Inc. pursuant to a Stock Purchase Agreement. In addition to the shares, Water IO received a non-convertible promissory note in the principal amount of $1,250,000. Under the agreement, BiomX has committed to filing a registration statement on Form S-3 within 45 days to cover the resale of these shares. The reporting persons acquired the securities for investment purposes and may engage in further discussions with management regarding business operations or governance. Menachem Shalom, the CEO of Water IO and controlling shareholder of T3 Defense, may be deemed to have shared voting and dispositive power over the shares. Additionally, the agreement includes earnout provisions and key employee retention clauses for Zorronet's founders.
