BiomX Acquires AI Defense Tech Firm ZorroNet for Stock and Cash

On April 10, 2026, BiomX Inc. (NYSE: PHGE) announced the acquisition of 100% of Zorro Net Ltd. (ZorroNet), an Israeli AI-powered defense technology company, from Water IO Ltd. ZorroNet specializes in autonomous surveillance and threat detection systems currently deployed by the Israel Defense Forces and critical infrastructure sites. As consideration, BiomX issued 1,300,000 shares of common stock and a $1.25 million non-convertible promissory note due July 7, 2026. The deal also includes a three-year retention commitment for key ZorroNet personnel. BiomX has committed to filing a registration statement for the issued shares within 45 days.
