Performance Food Group Enters into Information Sharing Agreement with US Foods

On September 15, 2025, Performance Food Group Company (PFG) entered into a clean team agreement with US Foods Holding Corp. to facilitate the sharing of non-public, confidential, and proprietary information. This agreement aims to evaluate regulatory considerations and synergies related to a potential business combination. The PFG Board, along with its independent financial and legal advisors, concluded that there was sufficient basis to begin this information sharing process. The clean team process will involve independent lawyers, economists, and consultants who will perform detailed analysis using confidential information. However, there is no assurance that this will result in a transaction proposal. PFG does not intend to make additional comments unless a definitive agreement is executed or discussions are terminated.
