Resignation and Appointment of Directors at OraSure Technologies

On October 28, 2025, Mara G. Aspinall resigned from her position as director and chair of the board of OraSure Technologies, Inc. Her resignation was not due to any dispute or disagreement with the board or company management. The board appointed John P. Kenny as the new chair. Additionally, Steven Boyd was appointed as a new Class II director, effective immediately. Boyd will serve on the Audit Committee and the Nominating and Corporate Governance Committee. He qualifies as an independent director under Nasdaq rules and will receive an initial equity award of $100,000 in restricted shares, vesting over two years.
