OneConnect Shareholders Approve Privatization Proposal

OneConnect Financial Technology Co., Ltd. announced that its shareholders have approved the proposal to privatize the Company through a scheme of arrangement under the Companies Act (2025 Revision) of the Cayman Islands. The proposal is subject to the fulfillment of remaining conditions, including sanction from the Grand Court of the Cayman Islands. The NYSE is expected to halt trading of the Company’s ADSs before market opens on October 30, 2025, and the last day of trading of the Company’s ordinary shares on the Hong Kong Stock Exchange is also expected to be October 30, 2025. If the Scheme is sanctioned and becomes effective in November 2025, the Company’s ADSs will be delisted from the NYSE on December 1, 2025.
