News Corporation Class B Common Stock Disposition by Reporting Persons

The Schedule 13D filing by MFT SH Family Trust, EM 2025 Family Trust, and MacLeod Family Discretionary Trust reports the disposition of beneficial ownership of Class B Common Stock of News Corporation. The Reporting Persons have sold all of their beneficial ownership of the Shares, resulting in an exit filing. The transactions include an underwritten offering of 14,071,293 Class B Shares for approximately $450 million and a series of transactions involving 7,125 Class A Shares and 24,256,641 Class B Shares, along with shares of Fox Corporation, for approximately $1,990 million.
