Kindly MD, Inc. Issues Redemption Notice for Secured Convertible Debenture

On September 15, 2025, Kindly MD, Inc. issued a notice of redemption to the holder of its Secured Convertible Debenture, dated August 15, 2025. The redemption is scheduled for September 29, 2025, where the company will redeem all outstanding amounts under the debenture that have not been converted. The redemption will be in cash equal to 100% of the outstanding principal amount plus a 1.5% payment premium, totaling $203,000,000 if no conversion occurs. The cash amounts will be delivered to the debenture holder on September 30, 2025. No accrued or unpaid interest will be due as of the redemption date.
