INVIM claims that Moolec and its affiliates failed to pay the $13 million Assignment Price by the September 30, 2025 deadline. Moolec disputes this claim, arguing that INVIM did not fulfill certain conditions precedent, such as transferring relevant securities or executing a required services agreement. On October 20, 2025, Moolec formally responded to INVIM, rejecting the claims and reserving all rights. Moolec intends to vigorously defend its position and enforce its rights under the Agreement and related transaction instruments.
