Littelfuse, Inc. Acquires Basler Electric Company for $350 Million

Littelfuse, Inc. has entered into a Membership Interest Purchase Agreement to acquire all of the issued and outstanding membership interests of Basler Electric Company from Basler Holdings, LLC for approximately $350 million in cash. The transaction is subject to customary closing conditions, including regulatory approvals and the absence of any legal prohibitions. The Purchase Agreement includes representations, warranties, and covenants by both parties, with indemnification provisions for breaches and other liabilities. Littelfuse has also obtained a representations and warranties insurance policy. The acquisition is expected to enhance Littelfuse's product portfolio and market position in the electrical products industry.
