Brandon Lutnick's Acquisition of CF Group Management, Inc. and Related Securities

On October 6, 2025, Brandon Lutnick, through trusts for which he is trustee, acquired all voting shares of CF Group Management, Inc. (CFGM), the managing general partner of Cantor Fitzgerald, L.P. (CFLP). CFLP is the sole member of CF Finance Holdings, LLC (Holdings) and CF GCM Investor, LLC (Investor), which collectively own significant shares and warrants of GCM Grosvenor Inc. Following this transaction, Lutnick may be deemed to have beneficial ownership of these securities. The purchase price for CFGM's voting shares was $200,000. Lutnick disclaims beneficial ownership of securities held by CFAC beyond his pecuniary interest.
