Director Retirement and Board Reorganization

Zachary Nelson will retire as a Class III director of Freshworks Inc. effective January 2, 2026, due to other commitments. His resignation is not due to any disagreements regarding the Company's operations, policies, or practices. Following his retirement, the Board size will decrease to eight members, with the number of Class III directors reduced to one. Concurrently, Johanna Flower will join the Board's Audit Committee. This change is effective as of January 2, 2026.
