FOXO Technologies Inc. Approves Increase in Authorized Shares

On September 10, 2025, FOXO Technologies Inc. (the "Company") reported that Rennova Health, Inc., the majority stockholder holding approximately 56.71% of the Company’s voting rights, approved an amendment to the Company’s Certificate of Incorporation. The amendment increases the authorized shares of Class A Common Stock from 500,000,000 to 2,500,000,000 shares, with the effective date to be determined by the Company’s Board of Directors. The Company will file a preliminary Information Statement on Schedule 14C with the SEC and will mail the definitive Information Statement to its stockholders. The approved items will become effective 20 days after the mailing.
