JCP and Jumana Capital Group Agreement for Denny's Corp

JCP Investment Partnership, LP, JCP Investment Partners, LP, JCP Investment Holdings, LLC, JCP Investment Management, LLC, James C. Pappas, Jumana Capital Investments LLC, and Christopher R. Martin have entered into a Group Agreement to coordinate their activities regarding Denny's Corporation. The agreement, effective as of September 8, 2025, outlines the formation of a group under Section 13(d)(3) of the Securities Exchange Act of 1934. The group will file necessary Schedule 13D forms and amendments. The parties agree to share expenses, with JCP covering 20% and Jumana covering 80%. The agreement also includes provisions for trading policies, joint decision-making on filings and communications, and dispute resolution. The agreement will terminate on the earliest of the second anniversary of the effective date, the conclusion of coordinated activities, or mutual written agreement.
