Power of Attorney for Stephen F. Angel

Stephen F. Angel, President & CEO of CSX Corp, has granted a Power of Attorney to Michael S. Burns and Tammy D. Butler. This authorization allows them to act on his behalf in matters related to SEC filings, including the preparation and submission of Forms 3, 4, and 5, as required by Section 16(a) of the Securities Exchange Act of 1934. The Power of Attorney also includes the ability to obtain necessary codes and passwords for electronic filings and to perform any other actions deemed beneficial or legally required. This document remains in effect until Angel is no longer required to file these forms or until he revokes it in writing.
