Barfresh Food Group Inc. Acquires Arps Dairy, Inc.

On September 15, 2025, Barfresh Food Group, Inc. entered into a stock purchase agreement to acquire all of the issued and outstanding capital stock of Arps Dairy, Inc. for the repayment of approximately $1.6 million of Arps' existing debt. Arps Dairy operates a dairy processing facility in Defiance, Ohio, and had commenced construction on a new 44,000-square-foot facility, which Barfresh plans to complete in 2026. The acquisition will allow Barfresh to manufacture its products at Arps' existing facility, reducing third-party manufacturing fees, freight costs, and cold storage expenses. The transaction is contingent on several conditions, including obtaining funds to pay off Arps' loans and securing a forbearance agreement from Arps' mortgage lender. Additionally, Barfresh amended its secured receivables financing facility to increase the borrowing limit to $2.5 million on September 10, 2025.
