Brera Holdings PLC Waiver and Consent for Registration Rights Agreement

On October 22, 2025, Brera Holdings PLC entered into a Waiver and Consent with certain holders of its securities, who collectively own at least 50.1% of the outstanding Registrable Securities. This Waiver and Consent extends the deadline for the company to file the initial resale registration statement with the SEC to the 60th calendar day following the Closing Date, as defined in the Registration Rights Agreement dated September 18, 2025. The Waiver and Consent waives the compliance of the Filing Date requirement under Section 2(a) of the Agreement.
