BNB Plus Corp. Director Changes and Appointments

On September 2, 2026, Robert B. Catell, Joseph D. Ceccoli, and Dr. Yacov Shamash resigned from their positions as directors of BNB Plus Corp., effective September 3, 2026. These resignations were not due to any disagreements regarding the company's operations, policies, or practices. Concurrently, Richard Shorten, Todd Larsen, and Lok Lee were appointed as new directors, effective September 3, 2026, filling the vacancies. Messrs. Larsen and Lee will serve on the Audit and Compensation Committees, with Mr. Larsen also joining the Nominating Committee. Their compensation will be determined at a later date. Richard Shorten, involved in blockchain and AI infrastructure, has a strategic advisory engagement with GlobalStake, an entity affiliated with Comstock MultiChain Fund, LP, a current shareholder. Comstock GP participated in previous private placements, involving the purchase of warrants and preferred stock.
