BullFrog AI Holdings, Inc. Enters into $10 Million Equity Purchase Agreement with Lincoln Park Capital Fund, LLC

BullFrog AI Holdings, Inc. (the 'Company') has entered into a $10 million equity purchase agreement with Lincoln Park Capital Fund, LLC ('Lincoln Park'). Under the agreement, Lincoln Park is committed to purchasing up to $10 million of the Company's common stock over a 36-month period. The Company has the right, but not the obligation, to sell shares to Lincoln Park, subject to certain conditions, including the effectiveness of a registration statement covering the resale of the shares. The purchase price per share will be based on prevailing market prices, and the Company will control the timing and amount of any sales. The proceeds from the sales are expected to be used for working capital, capital expenditures, and general corporate purposes. The agreement also includes a registration rights agreement, and the Company will issue 147,682 shares of common stock to Lincoln Park as consideration for its commitment.
