Beneficient Granted Listing Extension by Nasdaq

On September 9, 2025, Beneficient (the “Company”) was notified by the Nasdaq Hearings Panel (the “Panel”) that it had been granted an extension to regain compliance with Nasdaq Listing Rules 5250(c)(1), 5550(a)(2), and 5560(a). The Company must file its Annual Report on Form 10-K for the fiscal year ended March 31, 2025, and its Quarterly Report on Form 10-Q for the quarter ended June 30, 2025, within the extension period. Additionally, the Company plans to seek stockholder approval for a reverse stock split of its Class A and Class B common stock to meet the $1.00 per share bid price requirement. The Company continues to work diligently with its auditor to complete and file the required reports. However, there is no assurance that the Company will be able to timely regain compliance with the Nasdaq Listing Rules.
