AvidXchange Holdings, Inc. Special Meeting Results

On September 16, 2025, AvidXchange Holdings, Inc. held a special meeting of stockholders to consider proposals related to the Agreement and Plan of Merger with Arrow Borrower 2025, Inc. and Arrow Merger Sub 2025, Inc., affiliates of TPG Global, LLC. The Merger Proposal was approved with 160,933,222 votes in favor, 811,814 against, and 116,658 abstentions. The Merger Compensation Proposal was also approved with 157,281,016 votes in favor, 2,642,993 against, and 1,937,685 abstentions. The Merger will result in AvidXchange becoming a wholly owned subsidiary of Parent.
