Allegiant Travel CO Merger with Sun Country Airlines

On May 13, 2026, Allegiant Travel CO completed a merger with Sun Country Airlines. The transaction involved two steps: a merger of Mirage Merger Sub, Inc. with Sun Country Airlines Holdings, Inc., followed by a merger of Sun Country with Sawdust Merger Sub, LLC. As a result, Sun Country became a wholly owned subsidiary of Allegiant Travel CO. Shareholders of Sun Country received $4.10 in cash and 0.1557 shares of Allegiant Travel CO common stock for each share they held.
