Warrant Exercise by reAlpha Tech Corp.

On September 11, 2025, and September 12, 2025, a holder of existing warrants exercised their Warrants to purchase 7,291,668 shares of common stock of reAlpha Tech Corp. at an exercise price of $0.75 per share. This resulted in aggregate gross proceeds of approximately $5.5 million for the Company. The proceeds are intended to be used for working capital and general corporate purposes, which may include future acquisitions and capital expenditures.
