Officer Granted 5000 Restricted Share Units

Zhang Xiaosi, Chief Operating Officer of Metalpha Technology Holding Ltd, was granted 5,000 restricted share units (RSUs) on September 28, 2026. The RSUs were granted under the Company's Amended and Restated 2024 Share Incentive Plan without additional consideration. Each RSU represents a contingent right to one Ordinary Share. The RSUs will vest in four equal installments on the anniversary of the grant date, starting September 29, 2027, and will fully vest by September 29, 2030, contingent upon continued service to the Issuer. The transaction is reported on Form 4 and is not subject to Section 16.
