BBVA Share Capital Reduction
Banco Bilbao Vizcaya Argentaria, S.A. (BBVA) announced a partial execution of its share capital reduction, approved by the Ordinary General Shareholders’ Meeting on March 20, 2026. The reduction involves the cancellation of 70,339,213 own shares, with a nominal value of €34,466,214.37, held as treasury shares. These shares were acquired through the third tranche of a share repurchase program. Following the cancellation, BBVA's share capital is now €2,700,323,995.53, represented by 5,510,865,297 shares. This reduction does not involve a return of contributions as the company holds the redeemed shares, and it is charged to unrestricted reserves. BBVA will also request the delisting of the redeemed shares from stock exchanges and their cancellation in IBERCLEAR's records. This action does not grant creditors opposition rights as per Spanish Companies Act.
