M33 Growth I L.P. Reduces Stake in The Oncology Institute, Inc. Below 5% Threshold

M33 Growth I L.P., along with its affiliates M33 Growth I GP LLC and TOI M, LLC, filed an Amendment No. 6 to Schedule 13D for The Oncology Institute, Inc. (TOI). Between May 8, 2026, and May 14, 2026, M33 Growth I L.P. sold an aggregate of 1,800,000 shares of Common Stock through open market transactions on Nasdaq. The sales were executed at prices ranging from approximately $4.01 to $4.14 per share. Following these transactions, the Reporting Persons collectively hold 5,002,656 shares, which includes 3,644,207 shares of Common Stock and 1,358,449 shares issuable upon the exercise of warrants. This combined holding represents approximately 4.94% of the Issuer's outstanding common stock. Consequently, the Reporting Persons have ceased to be beneficial owners of more than five percent of the Issuer's Common Stock. Gabriel Ling, as Managing Member, signed the filing on behalf of the reporting entities. TOI M, LLC reported zero beneficial ownership following a previous distribution of shares.
