Lynrock Lake LP Exits Position in ON24 Inc. Following Merger Completion

Lynrock Lake LP, along with Cynthia Paul and Lynrock Lake Partners LLC, filed a Schedule 13D/A on April 2, 2026, reporting the full liquidation of their position in ON24 Inc. (ONTF). This exit resulted from the completion of a merger agreement dated December 29, 2025, between ON24 Inc., Cvent Atlanta, LLC (Parent), and Summit Sub Corp. (Merger Sub). On April 1, 2026, Merger Sub merged into ON24 Inc., which became a wholly-owned subsidiary of Parent. As a result of the merger, all outstanding shares of ON24 common stock, including those held by the reporting persons, were canceled and converted into the right to receive cash consideration of $8.10 per share. Consequently, the reporting persons' ownership dropped from the previously reported 8,293,974 shares to zero. Following the transaction, ON24 common stock was delisted from the New York Stock Exchange and its registration was terminated. The reporting persons ceased to be beneficial owners of more than 5% of the class effective April 1, 2026.
