ZJK Industrial Co., Ltd. Enters into Business Consulting Agreement

ZJK Industrial Co., Ltd. has entered into a five-year business consulting agreement with Chaince Securities LLC, commencing December 15, 2025. Chaince Securities will provide advisory services related to capital markets financing. In consideration, ZJK Industrial will issue 500,000 ordinary shares annually to Chaince Securities. The first issuance of 500,000 shares is due by January 15, 2026, with subsequent annual issuances contingent on satisfactory performance. These shares are subject to a twelve-month lock-up period from their issuance date. The agreement outlines the scope of services, including financing structure design, business intelligence, private placement of securities, investor relations, and strategic advisory for a U.S. manufacturing base and North American company. Chaince Securities will use commercially reasonable efforts to assist ZJK Industrial in exploring financing opportunities, with an indicative target of US$20-30 million, though no financing is guaranteed. The agreement also details confidentiality, representations, warranties, indemnification, and limitations of liability, governed by New York law with arbitration in New York City.
