XOMA Royalty Corp. Announces 2026 Annual Meeting Results and Bylaw Amendments
On May 21, 2026, XOMA Royalty Corporation held its 2026 Annual Meeting of Stockholders. Stockholders elected seven director nominees—Owen Hughes, Jack L. Wyszomierski, Heather L. Franklin, Natasha Hernday, Barbara Kosacz, Joseph M. Limber, and Matthew D. Perry—to serve until the next annual meeting. Additionally, stockholders approved an amendment and restatement of the 2010 Long Term Incentive and Stock Award Plan, which increases the authorized shares by 425,000 and extends the plan's term to March 2036. The 2026 Employee Stock Purchase Plan (ESPP) was also approved, making 500,000 shares available for issuance. In a separate regulatory move, the Board of Directors approved amendments to the Company’s bylaws. These changes clarify the applicability of Nevada's controlling interest statutes and introduce exclusive forum provisions, designating the Eighth Judicial District Court of Clark County, Nevada, for state corporate law claims and federal district courts for federal securities law claims. Stockholders also ratified Deloitte & Touche LLP as the independent auditor for the fiscal year ending December 31, 2026.
