Exicure HiTron Inc. Reacquires 623,277 Shares of Exicure, Inc., Increasing Stake to 34.9%

Exicure HiTron Inc., a South Korean corporation, filed Amendment No. 6 to its Schedule 13D on July 17, 2026, reporting an increase in its beneficial ownership of Exicure, Inc. (XCUR). The reporting person reacquired 623,277 shares of common stock following the execution of Share Transfer Amendment Agreements with five previous transferees: Daolam Co., Ltd., Jeon Sungchan, Im Sung Jin, Lee Aram, and Im Bumjin. These agreements effectively reduced the number of shares originally transferred to these parties, resulting in the return of shares to Exicure HiTron Inc. between June 23 and July 8, 2026. As a result of these transactions, Exicure HiTron Inc.'s total holdings increased from 1,598,947 shares (25.1%) to 2,222,224 shares, representing approximately 34.9% of the issuer's outstanding common stock. The reporting person also indicated it is pursuing remedies to recover an additional 487,834 shares from two other purchasers who did not participate in the amendment agreements.
