VolitionRx Limited Form 8-K Filing

VolitionRx Limited has entered into a waiver and consent agreement with Lind Global Asset Management XII LLC regarding their Securities Purchase Agreement. Lind has consented to sales under the Company's ATM Agreement, even if they exceed the $10 million annual limit, and has waived certain remedies and default provisions related to these sales. The agreement also adjusts the conversion price of the notes and the exercise price of the warrants for sales made through August 28, 2026. This waiver is effective as of September 2, 2026.
