This Amendment No. 12 to Schedule 13D, filed on May 15, 2026, reports a change in the beneficial ownership of Class A ordinary shares of Uxin Ltd by Astral Success Limited and its affiliates. On May 14, 2026, Abundant Grace Investment Limited distributed 558,725,100 Class A Ordinary Shares to Joy III and 349,203,000 shares to Brightest Sky Limited for nil consideration. Following these distributions, Astral Success Limited directly holds 17,496,912,310 Class A Ordinary Shares, representing approximately 26.5% of the outstanding class.
