Tigo Energy, Inc. Enters into Amended Manufacturing and Supply Agreement with EG4 Electronics LLC

Tigo Energy, Inc. has entered into an amended and restated manufacturing and supply agreement with EG4 Electronics LLC, effective December 18, 2025. This new agreement supersedes the previous one dated August 19, 2025. The key change is the clarification that EG4 Electronics LLC will be the recipient of the 45x Tax Credits, rather than Tigo Energy, Inc. Under the amended agreement, Tigo Energy will supply EG4 with specific components, including TS4-A-Os optimizers, Tigo Cloud Connect Advanced, and Tigo Access Point. EG4 will use these components to manufacture and distribute Optimized Inverters. The agreement is structured as a "contract manufacturing arrangement" for the purpose of claiming the 45x Tax Credits. EG4 is designated as the claimant for these tax credits. If EG4 receives the tax credits, it will pay an agreed-upon amount to Tigo Energy within 90 days. Other material terms from the original agreement remain largely unchanged.
