TENNESSEE VALLEY AUTHORITY - FORM 8-K

On December 18, 2025, the United States Senate confirmed the nominations of Mitch Graves, Jeff Hagood, Randall Jones, and Arthur Graham to serve on the TVA Board of Directors. These individuals will become members of the Board after Presidential commissioning, administrative matters, and being sworn in. The Nominees have not yet been assigned to any Board committees and are not party to any transactions or arrangements with TVA other than in connection with their employment. As directors, they will be entitled to benefits and arrangements as identified in TVA’s Annual Report on Form 10-K for the fiscal year ended September 30, 2025. The report was signed by Thomas C. Rice, Executive Vice President and Chief Financial Officer, on December 22, 2025.
