TORM plc Announces Completion of Hafnia Limited's Share Acquisition

TORM plc has announced that Hafnia Limited's acquisition of shares in TORM plc from Oaktree Capital Management, L.P. and its affiliates was completed on December 22, 2025. Following this acquisition, Oaktree holds 26,425,059 A shares and Hafnia holds 14,156,061 A shares out of a total of 101,332,707 A shares. The company will now undertake processes to determine if the "threshold date" has occurred, as defined in TORM plc's articles of association. This determination will impact the effect of certain provisions related to B director, C share voting rights, and limitations on TORM plc's actions, after which B and C shares will be redeemed and cancelled.
