Amendment to Investment Management Trust Agreement and Articles of Association

Translational Development Acquisition Corp. (the "Company") has amended its Investment Management Trust Agreement and its Amended and Restated Memorandum and Articles of Association. These amendments, approved by shareholders on June 17, 2026, extend the deadline for the Company to consummate a business combination. The deadline is extended from June 24, 2026, up to twelve times by one-month periods, to June 24, 2027. Each extension requires the Company to provide five days' advance notice to the Trustee and deposit funds into the Trust Account. For each one-month extension, the deposit will be the lesser of $200,000 or $0.03 per outstanding public share, due two days prior to the extension. The Company also held an extraordinary general meeting where shareholders approved the Extension Amendment Proposal, the Trust Agreement Amendment Proposal, and the Adjournment Proposal. In connection with the Extension Amendment Proposal, 2,598,697 Class A ordinary shares were redeemed.
