Amendment to Arrangement Agreement

Tamboran Resources Corporation and its subsidiaries, along with Falcon Oil & Gas Ltd., entered into an Amending Agreement to their existing Arrangement Agreement. The amendment, dated March 31, 2026, primarily extends the termination date from March 30, 2026, to April 30, 2026. However, if governmental/regulatory approvals are not met or if the Office of Foreign Assets Control has not issued an amended license by April 30, 2026, the termination date will be further extended to June 30, 2026, provided all other conditions are satisfied. This amendment does not alter other terms of the original agreement.
