Amendment No. 2 to Schedule 13D for Southland Holdings, Inc.

This Amendment No. 2 to Schedule 13D, filed by Walter Timothy 'Tim' Winn, updates the beneficial ownership of Southland Holdings, Inc. common stock. The amendment corrects a previous report that incorrectly stated the Reporting Person beneficially owned 1,675,863 shares held by irrevocable trusts for his children. The Reporting Person has relinquished his Right of Substitution and resigned as trustee of these trusts, effective June 3, 2024, and no longer beneficially owns any shares held in the Children Trusts. The Reporting Person directly owns 1,921,544 shares, representing 3.5% of the outstanding common stock as of November 3, 2025. No transactions in the class of securities were effected during the past sixty days.
