Skyline Builders Group Holding Limited Assigns Membership Interest in Reemag LLC

Skyline Builders Group Holding Limited (the "Company") has entered into an assignment and assumption agreement with Reemag LLC and an assignee. The Company will sell its 13.09% membership interest in Reemag LLC to the Assignee for $3,000,000. This includes the Company's rights and obligations related to acquiring additional membership interests in Reemag LLC under a subscription agreement. The Assignee will assume the Company's role as a buyer under the subscription agreement, including making representations and warranties. The agreement is effective upon the assignment closing, with the Assignee becoming a member of Reemag LLC and assuming all member obligations. The transaction is governed by Delaware law.
