Companhia Siderúrgica Nacional Disposes of Shares in MRS Logística S.A.

Companhia Siderúrgica Nacional (CSN) has approved the disposal of up to 11.17% of its shares in MRS Logística S.A. (MRS) to its subsidiary, CSN Mineração S.A. (CMIN), for a total price of up to R$ 3,350,000,000.00. The disposal will occur in two transactions. The first transaction involves the sale of 9.17% of MRS shares for R$ 2,750,000,031.80. The second transaction, pending customary conditions and legal approvals, will involve the sale of an additional 2% of MRS shares for R$ 599,999,968.20. Upon completion of the second transaction, CSN will hold 13.69% of MRS's voting capital stock, with no preferred shares remaining. All common shares held by CSN will remain subject to the MRS Shareholders' Agreement. CSN commits to keeping shareholders informed of any relevant developments regarding this disposal.
