Aircraft Time Sharing Agreement between Simmons First National Corporation and George Makris, Jr.

Simmons First National Corporation ("Company") and its chairman and chief executive officer, George Makris, Jr., have entered into an aircraft time sharing agreement. Under this agreement, Mr. Makris, Jr. can lease the Company's aircraft, a Dassault Aviation Model Falcon 2000EX, for personal travel. He is required to reimburse the Company for all actual flight expenses, including fuel, crew travel, maintenance, and other operational costs, plus an additional charge equal to 100% of the fuel expenses. The agreement is effective from December 23, 2025, and can be terminated by either party with 10 business days' written notice. The Company retains operational control of the aircraft and is responsible for its maintenance. Mr. Makris, Jr. will not receive tax reimbursements for imputed income or federal air transportation excise tax related to his personal use of the aircraft. The agreement specifies that the Company will maintain liability and hull insurance for the aircraft, and Mr. Makris, Jr.'s recourse in case of claims will be limited to the proceeds of this insurance.
